The transaction can be traced back to April 2025, when Ant Group, through its related entities, proposed a mandatory takeover offer to acquire approximately 50.55% of Bright Talent Securities at HKD 3.28 per share, totaling around HKD 2.814 billion. As the deal involves a cross-border financial institution acquisition, approvals from both Hong Kong and mainland Chinese regulators were required, resulting in a prolonged review process. In September 2025, the Hong Kong Securities and Futures Commission (SFC) completed its approval, while the mainland regulatory process involved multiple authorities, taking longer to finalize. In November 2025, the parties signed a supplemental agreement extending the completion deadline to March 2026 and increased the deposit to HKD 164 million. With the latest regulatory approvals now in place, the transaction has entered the final stage of settlement, and the company announced the resumption of trading after a brief suspension on March 17.
Strategically, this acquisition is significant for Ant Group. Founded in 1995, Bright Talent Securities is one of Hong Kong’s well-established online brokerages, with long-standing expertise in Hong Kong stock trading, margin financing, futures and options, and foreign exchange, supported by a mature trading platform and stable client base.According to the company’s financial report, for the six months ended September 30, 2025, Bright Talent Securities achieved revenue of approximately HKD 497 million, up 10.72% year-on-year, and net profit of around HKD 327 million, up 4.77% year-on-year, reflecting steady operational growth.
Previously, Ant Wealth maintained a large user base in fund distribution and wealth management products but relied on third-party brokerages for stock trading, especially in cross-border securities. Ownership of its own brokerage platform will allow Ant Group to form a more complete business ecosystem covering trading, data analytics, and client operations.
Industry observers note that this deal is not merely a conventional brokerage acquisition but may serve as a key example of integrating financial technology with brokerage operations. Ant Group possesses deep technical expertise in areas such as big data risk management, cloud computing, and robo-advisory services, while Bright Talent Securities offers a mature local brokerage system and trading platform. Their combination is expected to drive digital upgrades to trading systems and enhance client service efficiency.Additionally, the company’s future capital allocation strategy may evolve. Historically, Bright Talent Securities pursued a relatively high dividend payout policy, but under the new shareholder structure, more funds may be directed toward technology upgrades, system development, and risk management capacity enhancement.
Leveraging Hong Kong’s position as an international financial center, Ant Group could further expand its overseas wealth management business and serve a broader global investor base. Market attention remains high on the potential synergies from this strategic integration.
